I work in an advisory, preventive and litigation capacity across eight areas of law focused on the company: from corporate and contract law to compliance, data protection, consumer, administrative and international operations. In all of them the logic is the same: structure beforehand to avoid litigation later, and give every business decision a sound legal footing.

Corporate Law

A company without clear rules tends to turn into a dispute between partners once the business grows or changes direction. I handle company formation and restructuring, shareholders' agreements and governance, so every decision is made with predictability and with less room for dispute.

I support the company from incorporation and the shareholders' agreement through day-to-day corporate life: minutes, amendments to the articles, reorganizations and the governance that keeps decisions traceable. The shareholders' agreement, provided for in article 118 of Law No. 6.404/1976 and also accepted in limited liability companies, governs voting, the entry and exit of partners and the resolution of deadlocks before they paralyze the company. Well designed from the outset, it keeps disagreement among partners from turning into a court dispute.

Contracts

A poorly drafted contract only reveals the problem once it has already become a loss. I draft, review and negotiate corporate, commercial, international and technology contracts in clear language, defining terms, responsibilities and exits before conflict arises.

I draft, review and negotiate contracts for sale and purchase, services, distribution, partnerships, technology and international operations. The Brazilian Civil Code enshrines contractual freedom and objective good faith (articles 421 and 422) and allows atypical contracts (article 425), which leaves ample room to shape the agreement to the business, provided the liability, jurisdiction and dispute-resolution clauses are well defined. A clear contract is the cheapest way to avoid a dispute.

Compliance & Governance

Integrity failures and the misuse of data now lead to direct liability, not just reputational wear. I build integrity programs, internal policies and alignment with data protection (LGPD) and sector regulation, so the company operates with security, reputation and compliance.

I structure integrity programs proportionate to the size of the business: code of conduct, internal policies, risk management and data-protection compliance. Law No. 12.846/2013 (the Anti-Corruption Act) and Decree No. 11.129/2022 treat an integrity program as a factor that mitigates the company's liability, and the LGPD (Law No. 13.709/2018) requires the proper handling of personal data. Well-designed compliance protects reputation and reduces exposure in public and private contracting.

Company Structuring

Starting with the wrong corporate model costs dearly later, in taxes, rework and red tape. I plan the company's formation, the choice of corporate type and the legal organization from the outset, so the business grows on solid ground.

I assist in choosing the type of company, drafting the articles or bylaws and organizing the legal structure of new ventures, including startups. The limited liability company (article 1.052 of the Civil Code), including in single-member form, and the Legal Framework for Startups (Complementary Law No. 182/2021) offer distinct paths depending on the goal, the number of partners and the fundraising plan. The right structure from the start avoids rework, conflict among partners and unnecessary cost.

Civil Law

Mishandled debts, damages and property matters stall the routine of individuals and companies. I work on obligations, civil liability and assets, focused on solving the current problem and preventing the next one.

I work in obligations and contract matters, civil liability and property questions affecting individuals and companies. Civil liability, grounded in articles 186 and 927 of the Civil Code, imposes the duty to repair damage caused by an unlawful act, and mapping that risk in advance is part of the prevention I advise on. I serve both companies and individuals, in an advisory capacity and, when necessary, in civil litigation, seeking the most efficient solution for each case.

Consumer Law

A commercial practice outside the law turns into lawsuits and complaints that erode reputation. I preventively align your practices with consumer law, protecting the client relationship and the company's name.

I advise companies on aligning contracts, commercial practices and customer-service policies with the Consumer Protection Code (Law No. 8.078/1990), which imposes duties of information, transparency and good faith and penalizes abusive clauses. Bringing these points into line in advance reduces liability and protects the relationship with the customer. When litigation is unavoidable, I conduct the defense with a focus on reducing risk. I also act on behalf of the individual consumer in consumer disputes, from the complaint to court proceedings, when an amicable solution cannot be reached.

Administrative Law

Contracting with the public sector or operating in a regulated field exposes the company to specific requirements and risks. I advise on public tenders, administrative contracts and regulatory matters, so those dealing with public authorities do so with security.

I advise companies that deal with the Public Administration on bids, administrative contracts, sanctions and regulatory matters. Law No. 14.133/2021 (the new Bidding and Contracts Act) reorganized the rules on participation, qualification and performance, and demands heightened attention from anyone competing for or contracting with the government. I work to give legal certainty at every stage, from the proposal to the performance of the contract.

International Business

Operating across countries runs into contracts that do not match local law and rules that change by jurisdiction. I support cross-border operations: foreign companies entering Brazil, aligning contracts with local law, and Brazilian companies expanding abroad.

I support cross-border operations in both directions: the entry of foreign companies into Brazil, the adaptation to Brazilian law of contracts drafted under another jurisdiction, and the expansion of Brazilian companies abroad. The Law of Introduction to the Norms of Brazilian Law (LINDB, article 9) sets the law applicable to obligations according to where they are formed, and arbitration (Law No. 9.307/1996) is a frequent route for international disputes, which makes the governing-law and jurisdiction clauses decisive. I work together with local lawyers when the foreign jurisdiction requires it, always with clarity about the limits of my practice.
