I work on the legal relations between Brazil and the international market, particularly the United States, in both directions: the entry of foreign companies into the country, the adaptation of contracts drafted under another jurisdiction, and the expansion of Brazilian companies abroad. I am admitted to the Brazilian Bar (OAB/PR) and practice Brazilian law; where the foreign jurisdiction requires it, I work together with lawyers licensed locally, always with clarity about where my practice begins and ends. I also assist individuals with matters that originate abroad but must be handled in Brazil, carrying out here what Brazilian jurisdiction can reach.
Foreign companies in Brazil
Legal guidance for international companies, particularly from the U.S. market, seeking to set up operations, sign contracts and structure business in Brazil. I help align contracts with local law and draft software and technology agreements, with security and compliance.
In practice this means choosing the right corporate vehicle, preparing the incorporation documents and bringing contracts drafted abroad into line with Brazilian law. The LINDB (Decree-Law No. 4.657/1942) is the starting point: article 9 submits obligations to the law of the country where they are formed and article 11 governs legal entities, which determines early on which foreign clauses take effect in Brazil. From the outset I also address the data protection required by the LGPD (Law No. 13.709/2018), including where there is an international transfer of Brazilian data, so that the foreign operation takes effect and withstands enforcement in the country.
Brazilian companies abroad
Support for Brazilian companies expanding their activities internationally, with attention to international contracts, structuring and coordination with local counsel.
I review international contracts and the decisive clauses on governing law, jurisdiction and dispute resolution, and prepare the documentation for dealing with foreign counterparties. Arbitration, governed by Law No. 9.307/1996 and supported by the New York Convention (promulgated by Decree No. 4.311/2002), is often the forum chosen in these contracts, because its award is recognized in dozens of countries, which makes the drafting of those clauses a central part of the risk. I coordinate the work with lawyers in the destination jurisdiction so that the expansion proceeds predictably.
